These Terms of Service ("Terms") govern your access to and use of the CMSPro platform ("Platform"), operated by PT. Cipta Mitra Strategis Indonesia ("Company", "we", "us", or "our") — a technology company focused on HR, operational, and crewing solutions for Indonesia's maritime and logistics industry. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
1. Definitions
- Platform — The CMSPro maritime crew management software as a service (SaaS), accessible at www.cmspro.co and any associated API integrations. The Platform includes the following core modules:
- Candidate & Resources — Centralised seafarer database, bulk import from crew portals or Excel, sea-service history, and rank/certificate tagging.
- Certificate & Compliance — STCW and non-STCW certificate registration, automated expiry reminders, readiness status, and audit log.
- Project & Assignment — Crew placement per vessel, project, and principal; pipeline management (shortlist → proposed → approved → joined).
- Integration & Automation — Connectivity with crew portals, payroll, HR, and ERP systems; automated scheduling, reminders, and notifications via Email and WhatsApp.
- Reporting & Management View — Dashboards and analytics for management, owners, and principals.
- AI & Automation (Professional Plan) — OCR and AI-powered CV and document screening to shortlist candidates.
- Payslip & Invoicing (Professional Plan add-on) — Generation and management of crew payslips and client invoices.
- User / Subscriber — A shipping company (perusahaan pelayaran), crewing agency (manning agency), or other maritime business entity that subscribes to and uses the Platform. Individual employees or representatives accessing the Platform on behalf of a Subscriber are also bound by these Terms.
- Subscription — A paid plan (Basic or Professional) that grants the Subscriber access to specific modules of the Platform for an agreed contract period.
- Content — Any seafarer data, STCW and non-STCW certificates, medical and visa records, sea-service histories, vessel assignment records, CV documents, or other materials uploaded, submitted, or generated through the Platform by a Subscriber.
- Principal — A ship owner or vessel operator on whose behalf the Subscriber manages crew assignments through the Platform.
2. Eligibility
CMSPro is a business-to-business (B2B) platform intended for companies operating in the maritime and crewing industry. You must be a duly registered business entity and the authorised representative of that entity to enter into these Terms. Individual users accessing the Platform under a corporate Subscription must do so only within the scope of their employment or authorisation. The Company reserves the right to verify eligibility before or after granting access.
3. Account Registration & Onboarding
Access to the Platform is granted following a demo session and execution of a Subscription agreement. Upon account creation, you agree to:
- Provide accurate and complete company, contact, and billing information.
- Maintain the confidentiality of your account credentials and promptly notify us of any unauthorised use.
- Accept full responsibility for all activities performed under your account and sub-accounts.
- Not share login credentials between individuals or with third parties outside your organisation.
- Participate in onboarding training (online via Zoom / Microsoft Teams, or offline as agreed) to ensure proper use of the Platform.
4. Permitted Use
The Platform is provided exclusively for lawful maritime crew management, seafarer data administration, certificate compliance monitoring, crew placement, and related operational purposes. You agree not to:
- Use the Platform for any purpose unrelated to maritime crew management or in violation of applicable laws.
- Upload, submit, or generate false, falsified, or fabricated seafarer certificates (STCW or non-STCW), medical records, visas, or sea-service histories.
- Use the AI/OCR features to produce or validate fraudulent crew documentation.
- Attempt to gain unauthorised access to another Subscriber's account, crew data, or assignment records.
- Reverse-engineer, decompile, or extract source code from any part of the Platform.
- Resell, sublicense, or commercially exploit the Platform — including its data and reporting outputs — without prior written consent from the Company.
- Interfere with or disrupt the integrity, availability, or performance of the Platform or its underlying infrastructure.
- Use automated bots, scrapers, or similar tools to extract data from the Platform without authorisation.
5. Subscriptions & Payment
CMSPro is offered under the following Subscription plans:
Basic Plan
IDR 6.000.000 / month
Minimum contract: 3 months
• Dashboard, Resource Management, and Project Management modules.
• Up to 10 users per company.
• Online onboarding training.
• Responsive technical support via Email & WhatsApp.
Professional Plan
Custom pricing
Per agreement
• Full access to all modules including Payslip & Invoicing.
• Flexible number of users.
• Online and offline onboarding training.
• Premium priority support via Email & WhatsApp.
By subscribing, you further agree that:
- Subscription fees are invoiced in advance for the agreed contract period (minimum 3 months for the Basic Plan).
- Fees are non-refundable for any unused period unless otherwise agreed in writing or required by applicable law.
- Pricing and plan features may be revised with at least 30 days' written notice before the next billing cycle.
- Failure to settle outstanding invoices may result in suspension of access until payment is received.
6. Data & Privacy
The Platform processes sensitive personal data of seafarers, including identity documents, certificates, medical records, and family contact details. You, as the Subscriber, are the data controller for any seafarer data you enter into the Platform, and you are solely responsible for:
- Obtaining all necessary consents from seafarers and crew members whose data you upload.
- Ensuring that data collection and processing comply with Indonesia's Personal Data Protection Law (UU No. 27 Tahun 2022 tentang Pelindungan Data Pribadi / UU PDP) and any applicable international standards.
- Ensuring that data shared with Principals via the Platform is done under a valid legal basis.
The Company acts as a data processor on your behalf and implements appropriate technical and organisational security measures to protect the data. CMSPro's Privacy Statement (available at cmspro.co/privacy) is incorporated into these Terms by reference.
7. AI & OCR Features
The Professional Plan includes AI-powered and OCR-based tools for automated reading of seafarer CVs, certificates, and supporting documents to assist in candidate shortlisting. These features are decision-support tools only. The Company makes no warranty as to the accuracy or completeness of AI-generated outputs. Final hiring, placement, and compliance decisions remain the sole responsibility of the Subscriber and must comply with applicable maritime regulations and Principal requirements.
8. Intellectual Property
All rights, title, and interest in and to the Platform — including its software, modules, AI models, design, trademarks, logos, and documentation — are owned by or licensed to PT. Cipta Mitra Strategis Indonesia. These Terms do not grant you any ownership rights in the Platform. You retain ownership of the Content you submit; however, by submitting Content you grant the Company a limited, non-exclusive, royalty-free licence to process, store, and display such Content solely for the purpose of providing the Platform services to you.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Platform — including seafarer data, crew assignment details, Principal requirements, system architecture, API documentation, and pricing structures. This obligation survives termination of these Terms for a period of three (3) years.
10. Disclaimers
The Platform is provided "as is" and "as available" without warranties, express or implied. The Company does not warrant that the Platform will be uninterrupted or error-free. CMSPro is an operational management tool and does not replace the legal authority of maritime classification societies, flag states, port state control, or any other regulatory body with respect to seafarer certification, vessel compliance, or crewing standards. Subscribers remain solely responsible for ensuring their operations comply with all applicable maritime laws and regulations, including those set by the STCW Convention, IMO, and Indonesian maritime authorities (DJPL / Kemenhub).
11. Limitation of Liability
To the maximum extent permitted by applicable law, PT. Cipta Mitra Strategis Indonesia shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of crew deployment opportunities, revenue, data, or business standing — arising out of or related to your use of or inability to use the Platform, even if the Company has been advised of the possibility of such damages. The Company's total cumulative liability shall not exceed the total Subscription fees you paid in the three (3) months immediately preceding the event giving rise to the claim.
12. Termination
Either party may terminate these Terms upon the expiry of the agreed contract period, subject to any minimum contract commitment (e.g., 3 months for the Basic Plan). The Company may suspend or terminate your account immediately for material breach of these Terms, fraudulent activity, or if required by law. Upon termination, your right to access the Platform ceases immediately. You may request a structured data export of your crew and compliance records within 30 days of termination; after this period the Company may permanently delete your data.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 calendar days, disputes shall be submitted to the competent court in Jakarta, Indonesia.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and notify active Subscribers by email or in-platform notification at least 14 days before changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
